Proposed Bylaws Amendments

Ballot Measure 1: Clarify Board Candidate Eligibility for Election

The Board seeks to modify the bylaws to clarify that all candidates who satisfy the eligibility requirements established in the bylaws are eligible to appear on the election ballot.

This amendment adds language to the election process affirming that qualified candidates who meet the bylaw requirements are eligible for inclusion on the ballot.

Background:
Currently, the bylaws describe how directors are elected but do not expressly state that all candidates meeting the bylaw eligibility requirements are entitled to placement on the ballot. This amendment clarifies the election process, reinforces consistency between the bylaws and the nomination and vetting process, and supports a transparent and equitable election framework.

Existing bylaw reference: Article III, Section 3(a) – Method of Election
"Succeeding directors of OBAP shall be elected by the Regular Members at the annual meeting of the members and shall be elected by Plurality vote."

Proposed new language:
"Succeeding directors of OBAP shall be elected by the Regular Members at the annual meeting of the members and shall be elected by Plurality vote. All candidates who meet the eligibility requirements set forth in these Bylaws shall be eligible for inclusion on the ballot."

An aye vote indicates consent to amend the bylaws to expressly provide that all candidates meeting the eligibility requirements established in the bylaws are eligible for inclusion on the election ballot.

Ballot Measure 2: Establish a Bylaw Supremacy Clause

The Board seeks to modify the bylaws to establish that the OBAP Bylaws are the governing authority whenever a conflict exists between the bylaws and any organizational policy, procedure, or operational document.

Background:
The current bylaws do not include language addressing conflicts between the bylaws and other governing or operational documents. This amendment establishes a clear order of authority by affirming that the bylaws govern in the event of any conflict, promoting consistent application of organizational rules and sound governance practices.

Existing bylaw reference: Article XV – New Section 4

No existing language. The current bylaws do not address conflicts between the bylaws and organizational policies, procedures, or operational documents.

Proposed new language:
"Section 4. Supremacy of Bylaws. In the event of any conflict between these Bylaws and any policy, procedure, or operational document of the Organization, these Bylaws shall govern."

An aye vote indicates consent to amend the bylaws to establish that the OBAP Bylaws take precedence over any conflicting organizational policy, procedure, or operational document.

Ballot Measure 3: Clarify Board Eligibility Criteria

The Board seeks to modify the bylaws to clarify that eligibility requirements for Board service are limited to those expressly stated in the bylaws and may not be supplemented by additional criteria outside the bylaws.

Background:
The current bylaws identify the qualifications required for Board service but do not expressly state that those qualifications are exclusive. This amendment clarifies that Board eligibility requirements must be applied consistently and may not be supplemented by additional standards outside of the bylaws, promoting transparency, fairness, and consistency in the evaluation of candidates.

Existing bylaw reference: Article III, Section 2(b) – Qualifications of Directors

The directors specified in this Section 2 shall at all times be Regular Members of OBAP who:

(i) are in good standing and are not delinquent in the payment of dues;

(ii) consistently participate in OBAP's organizational affairs;

(iii) have exhibited prior organizational leadership roles or other demonstrated leadership experience; and

(iv) have documented work experience, educational skill sets, or professional experience indicating an ability to successfully lead the Organization.

Proposed new language:
"Eligibility requirements shall be applied consistently and shall not be supplemented by additional criteria outside of those defined in these Bylaws."

An aye vote indicates consent to amend the bylaws to provide that Board eligibility requirements are limited to those established in the bylaws and may not be supplemented by additional criteria outside the bylaws.
